In this contract, you won’t find overly complex legal language—our goal is to foster a transparent, fair, and beneficial working relationship for all involved.
Agreement Between Both Parties
Both parties agree to the following terms to ensure smooth and efficient collaboration:
- Client Responsibilities: You confirm that you have the authority to enter into this contract on behalf of yourself, your company, or your organization. You will provide us with all required information and resources to complete the project promptly and in the necessary format. Additionally, you agree to review our work, offer timely feedback, and adhere to the payment schedule outlined in this contract.
- Alphamax Digital Responsibilities: We bring the experience and skills needed to execute the agreed-upon work with professionalism and efficiency. We will make every effort to meet the project deadlines and maintain confidentiality for all proprietary information you share with us.
SEO Services
Alphamax Digital specializes in delivering SEO solutions tailored for eCommerce brands. While we utilize proven strategies, it’s essential to recognize that search engines frequently change their algorithms. Therefore, we cannot guarantee specific rankings, but we do commit to transparency and diligent effort to achieve the best possible outcomes.
Important Considerations:
- Search Engine Policies: Search engines may adjust their criteria for indexing or ranking websites, which may affect visibility and ranking. Alphamax Digital Services has no control over these policies and cannot guarantee continued visibility if policies change.
- Google Sandbox: New websites or pages may experience a “sandbox” period in which Google restricts ranking until they have proven their credibility. While we strive to mitigate these effects, Alphamax Digital is not liable for any Google Sandbox delays.
- Dropped Listings: Search engine listings may occasionally be removed without warning but can often reappear independently. If a listing is unexpectedly dropped during an SEO campaign and does not return within 30 days post-campaign, we will re-optimize the content according to current search engine policies.
- Commitment to Success: Alphamax Digital is dedicated to your SEO success. Our team utilizes proven, results-oriented strategies and maintains transparency throughout the campaign. While we cannot guarantee specific rankings, we are committed to optimizing your online presence and building a partnership founded on trust and open communication.

Alphamax Digital offers custom web design services that elevate eCommerce brands, combining functionality with visual appeal. Our approach to web design is flexible, including a one-time project fee with optional ongoing support for clients who wish to maintain, update, and optimize their website over time.
Service Components
- Project Completion & Maintenance: Our web design services are executed as a single, comprehensive project, but clients can choose monthly maintenance for ongoing updates and optimizations. Maintenance covers essential adjustments to keep your site aligned with the latest design and performance standards.
- Hosting, Domain, and SSL Renewal: We provide the first year of hosting, SSL certification, and domain registration at no additional cost. After the initial year, clients are responsible for yearly renewals. These services ensure that your site remains secure and accessible, with renewal terms in place unless you choose to terminate or migrate from our services.
- Flexible Solutions & Client Collaboration: Alphamax Digital emphasizes collaborative customization, tailoring each site to reflect the unique identity of your brand. Beyond initial setup, we offer scalable solutions that evolve with your business’s needs, ensuring your site remains competitive in the digital landscape.
Legal Disclaimer
While Alphamax Digital strives for the highest quality in all deliverables, it is important to recognize that digital services involve inherent variables and complexities. Therefore, we cannot guarantee that our work will be entirely error-free and do not assume liability for any damages, including lost profits, savings, or incidental damages, whether directly or indirectly resulting from our services. If any provision within this contract is found to be unenforceable, all other sections will remain in effect and enforceable.
- Use of Subcontractors and Tools: To maintain high-quality standards and adhere to project timelines, Alphamax Digital reserves the right to employ subcontractors or utilize design tools, plugins, and resources deemed necessary to achieve the best possible outcomes.
Copyright and Portfolio Rights
Alphamax Digital respects your ownership rights over provided materials and ensures you retain full rights over custom deliverables created for your project.
- Ownership: Upon receipt of final payment, ownership of all visual and textual elements produced by Alphamax Digital for your project will transfer to you. You will receive source files and completed assets, and we recommend that you store them securely, as we are not obligated to keep a copy.
- Portfolio Usage: With your consent, Alphamax Digital may feature your completed project as part of our portfolio. This helps us showcase our work and expertise to potential clients and may include displaying your project on our website or sharing it in industry publications, articles, and other media formats. Your permission allows us to demonstrate the quality and range of our services to a broader audience.
Payments
SEO Services: Payment for SEO services is due at the start of each month. To ensure uninterrupted service, clients are required to set up a standing order as part of the onboarding process.
Web Design Services: For web design projects, a one-time project fee is due at project initiation. Clients opting for monthly maintenance, hosting, and domain renewal will be billed as specified in the contract. Yearly fees for hosting, domain names, and SSL renewals commence after the first year.
- Flexible Payment Structure: To facilitate a smooth design process, we utilize a staged payment schedule unless the client chooses to pay 100% upfront:
- 50% Upfront: An initial payment of 50% of the total project cost is required before project commencement.
- 25% After 7 Days: A second payment of 25% is due seven days after the project begins, ensuring steady progress and resource allocation.
- 25% Upon Completion: The final 25% payment is due upon project completion, following thorough testing, review, and formal approval by the client.
- Example Payment Schedule for a £5,000 Project:
Start Date: January 1
- £2,500 due on January 1 (50% upfront)
7 Days After Start: January 8
- £1,250 due on January 8 (25% after 7 days)
Upon Completion: February 1 (example completion date)
- £1,250 due on February 1 (25% after project completion and acceptance)
This payment schedule ensures clarity, accountability, and flexibility, allowing for a smooth project flow while maintaining high standards throughout the design process.
- Additional Services: Any additional services or changes to the original scope of work will be mutually agreed upon and billed accordingly. Alphamax Digital and the client will honor all terms and fees associated with these additional services, ensuring alignment with the project’s goals and budget.
Non-Transferable Contract
This contract is non-transferable and may not be assigned to another party without prior consent from Alphamax Digital. The terms and conditions of this agreement remain effective until formally amended or renewed, and all provisions shall remain valid even if parts are deemed unenforceable.
Cancellation Policy
Either party may terminate the relationship with 30 days’ written notice. In the event of cancellation, Alphamax Digital reserves the right to bill for all work up to the next monthly cycle and will follow these terms:
- Notice Billing: If cancellation is requested mid-month, the client will be billed for the full month’s fee plus a pro-rated fee covering the notice period.
- Example: If the client’s monthly fee is £3,000 and the contract is terminated on the 15th, the client owes the full month’s fee plus a pro-rated amount based on the 30-day notice period.
Refund Policy
Alphamax Digital operates with a no-refund policy for rendered services. Once a service has commenced, the client is responsible for the full payment of the invoiced amount as outlined in this contract. This policy allows us to fairly compensate our team for the work and resources dedicated to your project.

Effective Date of Contract
This agreement becomes active upon signing by authorized representatives of both Alphamax Digital Services Limited and the client. For legal purposes, this contract is deemed entered into in the United Kingdom, and any disputes shall be resolved within UK jurisdiction.
